Public share buyback offer of Centrotec Sustainable AG successfully completed

Brilon, Germany, June 14, 2018 – The voluntary public share buyback offer of Centrotec Sustainable AG (ISIN DE0005407506 / WKN 540750) against payment of an offer price in the amount of EUR 14,40 per no-par value share for a purchase of up to 1,764,652 shares of the Company, published on May 11, 2018 is expected to have been accepted for a number of approximately 4,534,841 shares and therefore substantially over-subscribed.

According to the terms and conditions of the public share buyback offer the over-subscribed shares tendered will be considered proportionally, that is in relation to the total number of shares tendered. The allocation ratio is expected to be approximately 38.91%.

Third Quarter business performance below expectations – earnings forecast adjusted

The third quarter of 2017 saw revenue for the CENTROTEC Group rise by 1.8% to EUR 154.6 million (previous year EUR 151.9 million). Cumulatively over the first nine months of the financial year, this metric grew by 3.0% to EUR 428.4 million (previous year EUR 415.7 million). All three segments contributed to this growth, both in the quarter in question and over the year to date. The operating result (EBIT) for the third quarter of EUR 13.4 million was 8.8% down on the prior-year figure of EUR 14.6 million. In the first nine months of the current financial year, EBIT came to EUR 19.2 million, and was therefore 17.3% lower than in the previous year (EUR 23.2 million). Earnings per share (EPS) for the third quarter of 2017 amounted to EUR 0.49 (previous year EUR 0.55), and to EUR 0.62 for the first nine months of 2017 (previous year EUR 0.78).

CENTROTEC places promissory note in the amount of EUR 90 million

Brilon, August 31, 2017: CENTROTEC Sustainable AG has successfully completed the placement of its unsecured promissory note loan with a total volume of EUR 90 million. Bayerische Landesbank is the arranger.

The issue volume is made up of two fixed-interest and two variable tranches with maturities of seven and ten years.

CENTROTEC has thus been able to use the current low interest rates to secure long-term financing on attractive terms. The funds are earmarked for general refinancing and corporate development.

CENTROTEC Sustainable AG plans promissory note loan

Brilon, July 11, 2017: CENTROTEC Sustainable AG has today appointed Bayerische Landesbank with the task of putting an unsecured promissory note loan on the market. In making this move, the company would like to use the current low interest rates to secure long-term funds for its general refinancing and corporate development. No plans to finance a specific transaction exist. The promissory note loan is to have a volume of at least EUR 50 million and be offered in fixed-rate and variable-rate tranches, with maturities of 7 and 10 years. The closing of the transaction is expected to be by the end of August 2017.

2014 revenue target achieved amid continuing weak market environment; EBIT of just under EUR 31 million expected

Brilon, January 30, 2015: According to provisional calculations CENTROTEC Sustainable AG, Brilon, expects to achieve its revenue target for 2014 with consolidated revenue reaching around EUR 531 million. The continuing weak performance of most markets in the fourth quarter of the year and the development of the Russian rouble, which diminished the result (EBIT) by over one million euros, are likely to cause the previous earnings forecast to be narrowly missed at just under EUR 31 million.

Q3 business performance down slightly on previous year – earnings forecast adjusted

Brilon, October 31, 2014: according to provisional calculations CENTROTEC Sustainable AG, Brilon, generated revenue of EUR 146.3 million and an operating result before interest and taxes (EBIT) of EUR 14.7 million in the third quarter of 2014, representing a slight drop compared with the figures for the same period of the previous year (revenue EUR 147.1 million, EBIT 15.2 million). Revenue for the first nine months of the year came to EUR 390.5 million (previous year EUR 383.0 million), and the operating result (EBIT) to EUR 20.3 million (previous year EUR 22.2 million).

Change on Management Board of CENTROTEC Sustainable AG

Brilon, April 3, 2014: CENTROTEC Sustainable AG announces that the incumbent Management Board Chairman of CENTROTEC Sustainable AG, Dr Gert-Jan Huisman, has resigned as member and Chairman of the Management Board with immediate effect, in agreement with the Supervisory Board. His resignation was prompted by differing views on the business policy of the company, in particular with regard to the further strategic development of the Gas Flue Systems segment. Dr Gert-Jan Huisman will continue to serve the company in an advisory capacity until May 2015.

CENTROTEC maintains positive business performance in a difficult market environment – substantial improvement in fullyear earnings expected

Brilon, November 13, 2012. The SDAX-listed company CENTROTEC Sustainable AG, Brilon, increased its revenue by 2.7 % in the first nine months of the current financial year to EUR 388.4 million (previous year EUR 378.1 million). The third-quarter operating result (EBIT) of EUR 14.9 million was the highest ever quarterly EBIT in the company’s history. Based on the positive development in earnings, net borrowings of EUR 54.7 million at the end of the quarter were significantly down on the position one year ago (previous year EUR 88.7 million).

2011 trading figures: revenue up 12 %, non-recurring effects weigh on earnings, regular distribution of dividend the target

Brilon, March 29, 2012: as already announced in January, CENTROTEC Sustainable AG, Brilon, increased its consolidated revenue by 12.1 % in the 2011 financial year to EUR 537.8 million (previous year EUR 479.7 million). The mainstay of growth was the group’s largest segment, Climate Systems, which enjoyed a rise in revenue of 15.1 % to EUR 381.8 million (previous year EUR 331.8 million) thanks to the positive sales performance of energy-saving solutions. Even if almost all European markets were down in 2011, the revenue performance in most countries was stable and showed gains in major markets. The inclusion of Dreyer & Bosse Kraftwerke GmbH in consolidation from August 2011 moreover contributed EUR 21.5 million to revenue growth.
